By payment of any invoice, the Client agrees to the following terms for the design, setup, and implementation of workflow automations.

1. Scope of Services
Services include the design, setup, and implementation of workflow automations based on the agreed requirements. Any additional features, changes, or new workflows outside this scope will be quoted separately.
2. Client Responsibilities
The Client agrees to:
- Provide accurate and complete information
- Supply access to required systems, accounts, and tools in a timely manner
- Review and approve workflows before they are considered live
Delays in providing information or access may impact delivery timelines.
3. Third-Party Platforms
Automations may rely on third-party platforms (e.g. CRMs, email systems, APIs). We are not responsible for:
- Platform outages or downtime
- Changes to third-party functionality
- Integration failures caused by external systems
4. No Guarantee of Outcomes
While workflows are designed to improve efficiency and performance, we do not guarantee specific business outcomes, including but not limited to lead generation, conversion rates, or revenue.
5. Testing & Acceptance
Work is reviewed and accepted in stages. At the end of each stage, the Client is responsible for reviewing and testing the completed work before it is considered accepted or moved into full deployment.
At each stage review — usually on a call — we confirm together that the work has been delivered as agreed. The Client's approval may be given verbally (for example, during a review call) or in writing, and confirms acceptance of that stage's functionality.
As set out in section 9, once a stage is confirmed as complete it is treated as accepted, and the fees relating to it are non-refundable. If the Client identifies an issue during a stage review, we'll address it before the stage is confirmed and before the project moves to the next stage.
6. Data & Usage Responsibility
The Client is solely responsible for:
- How automations are used
- Communications sent via workflows
- Compliance with applicable laws and regulations (including privacy and spam laws)
7. AI & Automation Limitations
Where AI or automated decision-making is used, outputs may be imperfect. The Client agrees to review and validate outputs before relying on them.
8. Liability Limitation
We are not liable for:
- Loss of revenue, data, or business opportunities
- Errors resulting from incorrect inputs or third-party systems
Total liability is limited to the amount paid for the services under this invoice.
9. Payment Terms
Payment is due as set out in the invoice. Work may be paused or withheld until payment is received.
Work is delivered in stages (or phases). At the end of each stage we review the completed work with you — usually on a call — and confirm that the stage has been delivered as agreed. As set out in section 5, your confirmation may be given verbally (for example, agreement provided during a review call) or in writing, and confirms acceptance of that stage.
Once a stage has been confirmed as complete, that stage is accepted and the fees relating to it are non-refundable. This reflects the implementation work already carried out to deliver that stage. Because each stage is verified as done before the next one begins, we don't progress the project until the prior stage has been confirmed.
Where fees are paid upfront or in advance, any refund is limited to fees for stages that have not yet been confirmed as complete. Fees for completed and confirmed stages will not be refunded.
Nothing in this clause limits any rights you may have under the Australian Consumer Law that cannot lawfully be excluded.
10. Support & Changes
Post-delivery support, updates, or changes are not included unless explicitly stated and may incur additional fees.
11. Versions of these Terms
We may update these terms from time to time. Any changes will be posted here and will take effect when posted.
